I'm presented with a choice in staying in my current position which has very limitied prospects for career growth or a new position which has pretty unlimited potential for career growth.

- New position is brand new, in a brand new division of my current company

- Old position is not that engaging anymore...been doing it for 5 years

- Immediate move is definitely considered lateral

- Company is doing fairly well despite the downturn ( hence the launch of the new division )

- The actual job descriptions are not that different but the reality of it being a new part of the organization will make the day to day very different.

I'm having a hard time finding any reasons I shouldn't jump at the chance but what else should I consider?

I don't see any reason to pass up the opportunity.  Five years in your current position is plenty of time to demonstrate your ability to command a role.  Since it's a lateral move you already have the fundamental skills needed to execute, so you'll be able to apply more focus on the skills you'll need to grow.

As for stability... eh... it's over-rated.   But don't forget to inform your recruiter friends of your exciting new opportunity!
